Terms of Service

Welcome to Podcircle! These Terms of Service (“Terms”) govern your use of our website, services, and any related tools or platforms provided by Podcircle (“we,” “our,” “us”). By accessing or using our services, you agree to these Terms. If you do not agree, please discontinue use.
1. Services
Podcircle provides podcast strategy, launch, production, and related services (the “Services”). We reserve the right to modify, suspend, or discontinue any part of the Services at our discretion.
2. Eligibility
By using our Services, you represent that you are at least 18 years old and capable of entering into a binding agreement.
3. Client Responsibilities
Clients are responsible for providing all necessary materials required for the completion of services, including but not limited to raw audio and/or video assets, brand assets, and timely approvals.
Failure to provide these materials by the agreed-upon deadlines may result in delays in delivery. Such delays do not alter the client’s payment obligations or entitle the client to any refunds or credits.
4. Revisions & Edits
Each deliverable provided by Podcircle (including but not limited to podcast episodes, trailers, or related creative assets) includes up to two (2) rounds of revisions. Revisions must be requested within one (1) business day of delivery.
If a revision is required due to an error made by Podcircle, that revision will not count toward the two-round limit. Any additional revisions beyond the two included rounds may incur additional fees (“Overages”), which will be communicated prior to work commencing.
5. Delivery Timelines
Delivery timelines will be established based on the scope of each project and agreed upon in advance. As an example, projects that include editing a video podcast, creating clips, writing show notes, and publishing may require that all files be provided at least nine (9) business days before the intended publish date.
Timely delivery is dependent on the client providing all required files, assets, and instructions by the agreed-upon deadlines. Podcircle is not responsible for delays caused by late submissions, incomplete information, or other client-side issues.
6. Content Ownership & Licensing
Clients retain ownership of all content they provide to Podcircle, including but not limited to raw audio and/or video assets, brand materials, and other supplied content. Clients are solely responsible for ensuring that all such materials are properly licensed, cleared, or otherwise authorized for use.
Podcircle is not responsible for obtaining rights, licenses, or permissions for third-party content (including but not limited to music, images, video clips, or guest contributions) supplied by the client. The client agrees to indemnify and hold Podcircle harmless from any claims, damages, or expenses arising from the use of content provided by the client.
7. Strategic Services & Results Disclaimer
As part of its Services, Podcircle may provide strategic guidance related to podcast development, marketing, audience growth, and related areas. While we aim to provide high-quality recommendations, we do not guarantee specific outcomes such as listener numbers, rankings, revenue, or other performance metrics.
The client acknowledges that podcast performance depends on numerous factors outside of Podcircle’s control, including but not limited to audience behavior, market conditions, distribution platforms, and the client’s own efforts.
8. Cancellations & Refunds
- Podcast Strategy Sessions
All fees for podcast strategy sessions are due in full at the time of booking. Because we reserve time and resources in advance, these fees are non-refundable. If rescheduling is necessary, we will make reasonable efforts to accommodate requests made at least 48 hours in advance, subject to availability. - Podcast Launch Services
Fees for podcast launch services are due as outlined in the client’s proposal or contract. Because of the planning and resource allocation required, payments for launch services are non-refundable once work has commenced. If a client cancels prior to the start of work, a partial refund may be granted at Podcircle’s discretion, less any costs already incurred. - Ongoing Production Services
For ongoing production clients, the terms outlined in the signed Statement of Work (“SOW”) apply. Specifically:
- Podcircle invoices monthly in advance for upcoming services. Invoices are issued at the beginning of each month for the following month’s services, with payment due by the 21st of the month prior.
- Any approved overages or change orders will be billed on the next month’s invoice.
- If a client wishes to pause, terminate, or downgrade services, a minimum of thirty (30) days’ written notice is required.
All fees already paid remain non-refundable.
9. Ongoing Packages & Unused Services
For clients on ongoing production packages, services are provided on a use-it-or-lose-it basis within each billing period. Unused services (such as unproduced episodes or unused editing hours) do not roll over into future months, nor do they entitle the client to any refund or credit.
10. Attribution & Portfolio Use
Unless otherwise agreed in writing, Podcircle reserves the right to include attribution such as “Produced by Podcircle” in podcast metadata, episode credits, or similar contexts.
Podcircle may also showcase non-confidential client work, including podcast titles, artwork, and audio samples, in its portfolio, marketing materials, and social media to demonstrate the scope and quality of its Services.
If a client wishes to withhold attribution or limit portfolio use, they must notify Podcircle in writing prior to the start of Services.
11. Platform & Technology Disclaimer
Podcircle may assist with the distribution of podcast content to third-party platforms such as Apple Podcasts, Spotify, YouTube, or similar services. The client acknowledges that these platforms are operated by independent third parties and are subject to their own terms, policies, and technical requirements.
Podcircle is not responsible for any disruptions, removals, delays, or policy changes by third-party platforms, nor for any loss of access, audience, or revenue resulting from such issues. The client remains responsible for complying with the terms and conditions of any third-party platforms where their content is distributed.
12. Intellectual Property
- Your Content: You retain ownership of any content you provide to us. By providing such content, you grant Podcircle a limited license to use, edit, and modify it solely for the purpose of delivering the Services.
- Work Product: Upon full payment, you own the final podcast episodes and deliverables we produce for you. Podcircle retains the right to use non-confidential samples of work for portfolio and promotional purposes, unless you request otherwise in writing.
- Our Content: All materials, processes, and resources created by Podcircle (excluding client deliverables) remain our intellectual property.
13. Confidentiality
We respect the confidentiality of your content and business information. Unless given written permission, we will not disclose your confidential information to third parties, except as required by law.
14. Limitation of Liability
To the fullest extent permitted by law:
- Podcircle will not be liable for any indirect, incidental, or consequential damages arising from your use of our Services.
- Our total liability for any claim related to the Services will not exceed the amount paid by you for the Services in question.
15. Indemnification
You agree to indemnify and hold Podcircle harmless from any claims, damages, or expenses (including attorney’s fees) arising from your content, your use of the Services, or your violation of these Terms.
16. Termination
We may suspend or terminate your access to Services at any time if you breach these Terms or fail to pay for Services. Upon termination, your right to use the Services will end immediately.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of South Carolina without regard to conflict of law principles.
18. Dispute Resolution
Any disputes arising out of these Terms shall first be attempted to be resolved informally. If unresolved, disputes will be handled through binding arbitration or mediation in South Carolina, unless otherwise required by law.
19. Changes to Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised “Effective Date.” Your continued use of our Services constitutes acceptance of any changes.
